Terms of Service

These Terms of Service ("Terms") govern access to and use of the DAROS platform and related services operated by ROX SECURE Group, the cybersecurity division of Black Dev Software.

By accessing or using DAROS services, you agree to these Terms. If you do not agree with these Terms, you must not access or use the platform.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you, your organization, and ROX SECURE Group regarding the use of DAROS services.

If you access DAROS on behalf of an organization, you represent that you have the authority to accept these Terms on its behalf.

2. Description of Services

DAROS is a cybersecurity operations platform designed to provide governed security monitoring, investigation, response management, security automation, and verifiable operational evidence.

DAROS services may include:

• Security event collection and analysis
• Threat detection and investigation capabilities
• Security workflow automation
• Incident response orchestration
• Audit and evidence capabilities
• Security governance mechanisms

DAROS may be provided through:

• Cloud-hosted SaaS deployment
• Enterprise-managed environments
• Customer-controlled deployment models where applicable

Specific features and service availability may depend on the selected subscription plan or enterprise agreement.

3. User Responsibilities

You agree to:

• Provide accurate and complete account information
• Maintain the confidentiality of authentication credentials
• Ensure authorized use of accounts and access permissions
• Use DAROS in compliance with applicable laws and regulations
• Protect your own systems, networks, and credentials connected to the platform
• Not attempt to bypass, disable, or compromise DAROS security controls

You must not use DAROS to:

• Conduct unauthorized attacks or malicious activities
• Violate applicable laws or regulations
• Access data or systems without proper authorization
• Circumvent security mechanisms or platform restrictions

4. Security and Platform Integrity

DAROS is designed with security-focused architecture principles, including controlled access, tenant isolation mechanisms, and security monitoring capabilities.

Users acknowledge that cybersecurity risk cannot be completely eliminated and that DAROS provides security capabilities intended to assist organizations in managing and reducing risk.

5. Service Availability and Support

For enterprise customers, service availability commitments, support obligations, and response times are defined in the applicable order form, service agreement, or enterprise contract.

Unless otherwise specified, subscription services are provided with commercially reasonable efforts and may be subject to maintenance, updates, and operational requirements.

6. Data Ownership and Processing

Customers retain ownership of data submitted to DAROS.

DAROS processes customer data only as necessary to provide contracted services, maintain security operations, improve reliability, and comply with applicable legal obligations.

Where required, data processing activities are governed by a Data Processing Agreement (DPA) between the customer and ROX SECURE Group.

Customers remain responsible for ensuring that submitted data is collected, processed, and used lawfully.

7. Intellectual Property

All rights, title, and interest in DAROS software, architecture, documentation, trademarks, and related intellectual property remain the property of ROX SECURE Group or its licensors.

Customers receive a limited, non-exclusive, non-transferable right to use DAROS services according to these Terms and the applicable subscription agreement.

8. Payments and Billing

Paid subscription plans are billed according to the selected billing cycle.

Unless otherwise stated:

• Subscription fees are payable in advance
• Pricing is defined by the applicable subscription plan or commercial agreement
• Enterprise agreements may include customized pricing and contractual terms

Failure to complete payment obligations may result in suspension or termination of access.

9. Termination

Either party may terminate access to DAROS services according to the applicable agreement terms.

Upon termination:

• Customer access may be disabled
• Customer data may be exported according to available procedures
• Data deletion may occur according to customer instructions and applicable legal retention requirements

Certain security, audit, or legal records may be retained where required by law or legitimate operational requirements.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ROX SECURE Group shall not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of DAROS services.

The total liability of ROX SECURE Group shall be limited to the fees paid by the customer during the twelve (12) months preceding the event giving rise to the claim, unless otherwise required by applicable law or contractual agreement.

11. Changes to Services and Terms

ROX SECURE Group may modify DAROS services, features, or these Terms to reflect improvements, security requirements, operational changes, or legal obligations.

Material changes will be communicated through appropriate channels.

12. Governing Law and Dispute Resolution

These Terms are governed by applicable laws specified in the relevant customer agreement.

The parties agree to attempt good-faith resolution of disputes before initiating formal legal proceedings.
